2. Important resolutions: Approved to reduce the Company’s capital by cash of
NT$4,897,759,016, CDF common stock of 340,713,669 shares, and CDF preferred
stock of 310,901,223 shares, and return the same in total to CDF; further,
the Chairman is authorized to decide the capital reduction record date.
3. Any other matters that need to be specified: The BOD is authorized to
exercise the rights of the shareholders' meeting pursuant to Article 15 of
